1. Eligibility

Paid subscriptions are processed securely through Stripe Attachment.tiff .

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before renewal.

Cancellation

You may cancel your subscription at any time through your account settings.

If canceled, your access will remain active through the end of the current billing period.

No Refunds

ALL PAYMENTS ARE FINAL.
NO REFUNDS OR PARTIAL REFUNDS WILL BE PROVIDED, INCLUDING FOR:

Partial subscription periods
Unused time
Downgrades
Account inactivity
Terminated accounts resulting from Terms violations

Failed Payments

We reserve the right to suspend or terminate access for failed or declined payments.

Chargebacks & Payment Disputes

If you initiate a chargeback or payment dispute, we reserve the right to:

Immediately suspend or terminate your account
Revoke access to the Service
Restrict future purchases or account creation

4. Intellectual Property

The EMA platform, including its:

Website design
Database structure
Search tools
Collections
Features
Branding
Logos
Original content
Software and functionality

are owned by Cufile LLC and protected by applicable intellectual property laws.

Marketing emails, trademarks, logos, and brand materials displayed within the archive remain the property of their respective owners.

EMA displays archived marketing emails and related materials for purposes including:

Research
Commentary
Analysis
Educational reference
Inspiration

Nothing in these Terms transfers ownership rights to users.

5. Prohibited Conduct

You agree not to:

Share accounts or login credentials
Resell or sublicense access to the Service
Copy, scrape, harvest, or download content at scale
Use bots, crawlers, scripts, or automated extraction tools
Reverse engineer or attempt to access underlying systems
Reproduce, redistribute, or commercially exploit archive content
Use the Service to train AI models, datasets, or machine learning systems without written permission
Circumvent subscription or access controls
Interfere with platform security or functionality
Attempt unauthorized access to accounts or systems
Mirror or replicate the EMA database or platform

We reserve the right to investigate violations and cooperate with legal authorities when appropriate.

6. Content Reports & Takedown Requests

EMA curates content manually through our internal team.

If you believe content on the Service violates your intellectual property rights or applicable law, you may submit a report or DMCA request.

7. Account Suspension & Termination

We reserve the right to suspend, restrict, or terminate accounts at any time, with or without notice, including for:

Violations of these Terms
Abuse of the platform

Fraudulent activity
Payment disputes or chargebacks
Activity that may harm EMA or its users

Termination may result in loss of access to:

Saved collections
Reports
Subscription features
Account data

8. Availability of Service

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

We do not guarantee:

Continuous uptime
Error-free operation
Availability of specific features
Accuracy or completeness of archived content
Permanent availability of any email or archive entry

We may:

Modify features
Remove content
Change pricing
Limit functionality
Discontinue portions of the Service
Discontinue the Service entirely

at any time without liability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMA, CUFILE LLC, AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

INDIRECT DAMAGES
INCIDENTAL DAMAGES
CONSEQUENTIAL DAMAGES
LOST PROFITS
BUSINESS INTERRUPTION
DATA LOSS
LOSS OF GOODWILL

ARISING FROM OR RELATED TO:

USE OF THE SERVICE
INABILITY TO ACCESS THE SERVICE
CONTENT ACCURACY
THIRD-PARTY SERVICES
ACCOUNT TERMINATION
PLATFORM MODIFICATIONS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO EMA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Cufile LLC from claims, damages, liabilities, costs, and expenses arising from:

Your use of the Service
Your violation of these Terms
Your misuse of content or data
Your violation of third-party rights

11. Arbitration & Class Action Waiver

Binding Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in California, except where prohibited by law.

You waive the right to:

A jury trial
Participate in a class action lawsuit
Participate in class-wide arbitration

Class Action Waiver

All claims must be brought individually and not as part of a class or representative action.

12. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

Any arbitration or permitted legal proceeding shall occur in Orange County, California.

Your use of the Service is also governed by our Privacy Policy.

14. Changes to These Terms

We may update or modify these Terms at any time without prior notice.

Updated versions will be posted on this page with a revised effective date.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
